Company Secretary - Expression of Interest
The TAIHS Board is seeking expressions of interest from experienced governance professionals to act as Company Secretary.
The Company Secretary is TAIHS' chief governance specialist. You will give independent advice to the Board through the Chair, and make sure the Board has clear, balanced and timely information to make good decisions.
Expectations of company secretaries and other officers are rising. Recent decisions such as ASIC v Bekier (Star Entertainment) have made clear that serious risks must reach the Board, not just management. We are looking for someone who will bring that independence and judgment to TAIHS.
About TAIHS
TAIHS is an Aboriginal and Torres Strait Islander community-controlled organisation. We have around 200 staff and an operating income of more than $40 million.
We provide holistic primary health care and community services across Townsville, Ingham, the Burdekin, Charters Towers and Hughenden. Our purpose is to lead the way in providing culturally accessible, integrated health and social support services, so our people can live healthier, stronger and longer lives.
TAIHS is registered under the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (CATSI Act) and regulated by the Office of the Registrar of Indigenous Corporations (ORIC).
What you will do
- Advise the Board, Chair, committees and CEO on governance, directors' and officers' duties and regulatory obligations
- Prepare and coordinate Board and Finance, Audit and Risk Management (FARM) Committee agendas, papers and minutes, making sure key risks are clearly flagged
- Coordinate the AGM and other member meetings in line with the CATSI Act and the TAIHS Rule Book
- Maintain registers, including the register of members and directors' interests, and manage Rule Book amendments with ORIC
- Monitor compliance with ORIC, ACNC, ATO and other regulatory obligations
- Support director induction, conflict of interest management, Board performance reviews and professional development
- Escalate material legal, regulatory and reputational risks to the Board through the Chair
What we are looking for
- Significant experience in a company secretarial, governance, legal or senior Board support role
- Sound knowledge of the Corporations (ATSI) Act, the Corporations Act 2001 (Cth) ORIC and ACNC requirements, and directors' and officers' duties
- Excellent writing skills, including accurate, concise minutes and Board papers
- High integrity, discretion and independent judgment
- The ability to work respectfully and effectively in an Aboriginal and Torres Strait Islander community-controlled organisation
- Legal qualifications or experience in a legal environment
- Membership of the Governance Institute of Australia (for example AGIA/ACIS) or the Australian Institute of Company Directors
- Financial literacy and experience supporting audit and risk committees
Checks
The successful applicant will need a National Police Check and a current Queensland Blue Card and must not be disqualified from managing corporations.
What happens next
Shortlisted applicants will be invited to meet with the Chair and a panel of directors.
The Board will make the final decision on the appointment.
All applications will be treated confidentially and handled in line with the TAIHS privacy policy.
