Role Overview: Reporting to the Board Chair, you will run the Board’s administration and governance rhythm so that it can fulfil its mandate. You will attend the monthly Board meeting in person, maintain the Board calendar, summarise incoming reports and follow up Board actions with Board members and counsel. You will also manage the administration of the AGM. You will anticipate the Board’s governance needs, ensure resolutions follow the right process, support constitution amendments and keep the Board informed on matters such as enrolment trends. You will build strong rapport with the school’s executive team, work closely with the Chair, and handle highly confidential information with discretion.

Responsibilities:

  • Maintain the Board calendar and run all Board administration, including the AGM
  • Attend the monthly Board meeting in person, supporting the meeting and recording its outcomes
  • Receive Board reports and provide clear, concise summaries
  • Own the follow-up of Board actions, proactively chasing Board members and engaging counsel where needed
  • Ensure matters requiring a resolution (such as budget sign-off) follow the right process, and complete and close out resolutions in meetings
  • Manage the administration of constitution amendments and keep the Board informed on key matters such as enrolment trends

Candidate Profile: You are an experienced governance or Board support professional who anticipates what is coming rather than simply reacting. A legal background is desirable, though not essential. You are trusted with highly confidential information, and you build strong working relationships at every level, from the Chair through to the school’s executive team. Proactive and assertive, you are comfortable following up with Board members and counsel until the job is done. You are able to attend the monthly Board meeting in person at the school’s campus and work on site one day a week.

Culture & Benefits: This independent Sydney school is committed to strong governance and to the people who support it. The Board values a Secretary who is a genuine part of the meeting, not a voice on the phone, and offers a role with real trust and visibility.

  • Contribute at Board level – attend the monthly Board meeting in person as an integral part of the meeting
  • Flexible working – part-time, 2 days a week, with hybrid arrangements
  • Work closely with the Chair – a position of trust in the school’s governance
