Our client is a premium Australian commercial law firm with a Banking & Finance practice that advises on corporate, acquisition, property and structured financings, as well as solvent and insolvent restructurings and recapitalisations. It is looking for a Melbourne lawyer with 5-7+ years' PAE in front-end transactional restructuring to work alongside highly regarded practitioners on sophisticated, high-profile matters. The work is transactional, within the Banking & Finance practice, rather than contentious insolvency or litigation.
Why you'll love it here
- Our client offers a competitive package that rewards merit and performance
- Sophisticated, high-profile matters in a collaborative, entrepreneurial environment, so you build a name in a niche that is in demand
- A lean, high-performing team, so your work is visible and your input shapes the outcome
- Clients on both sides of the table: borrowers and lenders, ASX-listed and private corporates, private equity, hedge and special situation funds, and family offices
- Fully subsidised gym membership, wellbeing programs and regular social events
- A professional development program, plus complimentary advice on wills, estate planning and conveyancing
About the role
You will work on a broad range of restructuring and finance matters, including:
- Large solvent and insolvent restructurings and workouts, including standstill, forbearance and amendment agreements
- Distressed debt and turnaround transactions, including recapitalisations, debt-for-equity conversions and rescue finance
- Corporate and acquisition finance in a restructuring context, including refinancings and asset-based lending
- Safe harbour advice to directors
- Stakeholder negotiations and intercreditor arrangements
- Deeds of company arrangement and schemes of arrangement
- Complex cross-border and high-value transactions, and general corporate work such as joint ventures and distressed asset sales
What you'll bring
- 5+ years' PAE in front-end transactional restructuring, ideally in banking and finance or corporate and commercial with meaningful workout exposure
- Admission to practise in Australia
- Demonstrated experience drafting and negotiating restructuring documents
- A sophisticated understanding of corporate, banking & finance and insolvency law
- Strong drafting and negotiation skills, with a pragmatic, solutions-focused approach
- The ability to work with major corporates, financiers and private equity sponsors in time-sensitive situations
Additional information
- Restructuring, workout and distressed debt transactions
- Act for corporates, financiers, private equity and special situation funds
- Front-end transactional work within a Banking & Finance practice
