The opportunity
Reporting to the Chief Financial & Corporate Services Officer, the Head of Legal & Risk / Company Secretary will lead the legal, enterprise risk, compliance and corporate governance functions, providing trusted advice to the Executive Leadership Team, Board and shareholder.

This is a broad leadership appointment with a clear mandate to strengthen functional capability, enhance governance and risk frameworks, and build a more proactive and commercially focused legal function.

Working closely with an engaged Board Chair and Executive Leadership Team, you will play an influential role in supporting Transmax's continued transformation, balancing the governance obligations of a government-owned business with the commercial needs of a growing technology organisation.

Key responsibilities include:

  • Lead and uplift the legal, risk, compliance and corporate governance functions, strengthening frameworks, processes and organisational capability.
  • Act as Company Secretary and principal governance adviser to the Board and Chair, providing independent and authoritative advice on governance matters and statutory obligations.
  • Oversee Board and committee governance, reporting and compliance, including engagement with Transmax's Queensland Government shareholder.
  • Strengthen enterprise risk management and compliance practices, ensuring material risks are appropriately identified, managed and escalated.
  • Lead and develop the legal function, embedding a proactive, commercially focused approach to business partnering.
  • Oversee complex commercial contracts, contract management practices, external legal advisers and corporate insurance arrangements.
  • Partner with executive and operational leaders to support informed decision-making, commercial outcomes and continuous improvement.

About you
You will be an experienced legal and governance professional who brings sound judgement, commercial pragmatism and the confidence to influence at board and executive level.

You will enjoy working in an evolving business environment, where there is genuine scope to build capability, improve processes and shape the future effectiveness of the function.

Ideally, you will bring:

  • Legal qualifications and a current practising certificate.
  • Demonstrated experience in corporate governance, company secretary responsibilities and advising boards and senior executives.
  • Experience within a government-owned corporation, statutory authority or similarly complex governance environment will be highly regarded.
  • Strong commercial legal expertise, particularly in commercial contracts, contract management and legal risk.
  • Sound enterprise risk and compliance experience, including the ability to strengthen frameworks and organisational practices.
  • Proven ability to lead, coach and develop teams, building capability and accountability.
  • The confidence and professional judgement to provide independent advice, constructively challenge stakeholders and navigate complex governance relationships.
  • A proactive, adaptable and collaborative leadership style, with the ability to balance strategic priorities and hands‑on delivery.

This role is Brisbane-based and hybrid work options are available.
