Senior Legal Counsel position for a global investment bank and capital markets firm. You will join the APAC team and support the Head of Legal for the Australian branch which spans Investment Banking & Capital Markets, Sales & Trading and Research.
Responsibilities include:
- Overseeing Equity Capital Markets (ECM) transactions: IPOs, secondary raisings, placements, and other equity offerings
- Guiding public and private M&A, including takeover bids, schemes of arrangement and strategic advisory work
- Reviewing and negotiating key transaction documentation, with execution-level drafting handled externally
- Advising Sales & Trading and Research on regulatory, market conduct and transactional issues across equity products, distribution, and research activity
- Corporations Act, ASX Listing Rules and Australian financial services regulation
- Coordinating with institutional clients and offshore stakeholders
- Oversight and advise on legal and regulatory issues
Seeking c4-7 years PQE experience coming from a law firm or financial institution ideally capital markets/ECM experience. Open to M&A or Funds lawyers with exposure to ECM matters. This is an exciting opportunity to join a fast-growing, high-paced business with exposure to a variety of corporate, transactional, and regulatory matters across various markets in APAC.
